Mediv8 may revise and update these Terms and Conditions at any time. Your continued usage of the Mediv8 website (www.mediv8.com) (“Mediv8 Site” or the “Site”) will mean you accept those changes.

Any special rules for the use of certain software and other items accessible on the Mediv8 Site may be included elsewhere within the Site and are incorporated into these Terms and Conditions by reference. The content must also be correctly referenced to the source using the Mediv8 URL and other site details.

Title to the materials remains with Mediv8 or its licensors. Any use of the materials not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other laws. Content and features are subject to change or termination without notice in the editorial discretion of Mediv8. All rights not expressly granted herein are reserved to Mediv8 and its licensors.

If you violate any of these Terms and Conditions, your permission to use the materials automatically terminates and you must immediately destroy any copies you have made of any portion of the materials.

Advertisement and Sponsorship Policy
To further our mission of making reliable medical information available to the public, we accept advertising and sponsorship under strict guidelines. We will refuse any advertisement that we believe is incompatible with our mission. The presence of an ad on our site or in one of our newsletters does not imply endorsement of the advertised company or product. Advertisers and sponsors must not make unsubstantiated medical and health claims or suggest that Mediv8 has endorsed a product. Advertising may be placed on the site adjacent to content related to advertiser or sponsor interest, and also may be targeted to users by using non-personal data. Our sponsors and advertisers have agreed that they will not collect any personally identifiable information from our site visitors while they are on the Mediv8 site.

Mediv8 maintains a distinct separation between advertising content and editorial content. All advertising content on the Mediv8 site or in one of our newsletters is clearly labelled as an advertisement. Sponsored areas of the site are labelled as such, and the sponsoring organisations are identified.

User Submissions
The personal information you submit to Mediv8 is governed by the Mediv8 Privacy Policy. To the extent there is an inconsistency between this Agreement and the Mediv8 Privacy Policy, this Agreement shall govern.

The Site contains functionality (including blogs, message boards, user reviews of drug information, etc.) that allows users to upload content to the Site (collectively “Public Areas”) and users may also upload content via our official brand presence on social media platforms and branded hashtags (including, without limitation Facebook, LinkedIn, Twitter, Google Plus, YouTube, Instagram, and Pinterest, collectively “Social Media Platforms”). You agree that you will not upload or transmit any communications or content of any type to the Public Areas or Social Media Platforms that infringe or violate any rights of any party. By submitting communications or content to the Public Areas or Social Media Platforms, you agree that such submission is non-confidential for all purposes. It is important to note that Mediv8 is not responsible for the operation, terms of use or policies of any Social Media Platform. Before using any Social Media Platform you should review its terms of use and policies, including its privacy policy.

If you make any such submission you agree that you will not send or transmit to Mediv8 by email, (including through the email function on the “Contact Us” page) any communication or content that infringes or violates any rights of any party. If you submit any business information, idea, concept or invention to Mediv8 by email, you agree such submission is non-confidential for all purposes.

If you make any submission to a Public Area or a Social Media Platform or if you submit any business information, idea, concept or invention to Mediv8 by email, you automatically grant-or warrant that the owner of such content or intellectual property has expressly granted-Mediv8 a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or content in any media or medium, or any form, format, or forum now known or hereafter developed. Mediv8 may sublicense its rights through multiple tiers of sublicenses. If you wish to keep any business information, ideas, concepts or inventions private or proprietary, do not submit them to the Public Areas or Social Media Platforms or to Mediv8 by email. We try to answer every email in a timely manner, but are not always able to do so.

User Submissions — Image, Video, Audio Files
You agree to only post or upload media (like photos, videos or audio) on the Mediv8 site or a Social Media Platform that you have taken yourself or that you have all rights to transmit and license and which do not violate trademark, copyright, privacy or any other rights of any other person. Photos or videos of celebrities and cartoon or comic images are usually copyrighted by the owner.

To protect your privacy, you agree that you will not submit any media that contains Personally Identifiable Information (like name, phone number, email address or web site URL) of you or of anyone else. Uploading media like images or video of other people without their permission is strictly prohibited.

By uploading any media on the Mediv8 site or a Social Media Platform, you warrant that you have permission from all persons appearing in your media for you to make this contribution and grant rights described herein. Never post a picture or video of or with someone else unless you have their explicit permission.

It is strictly prohibited to upload media of any kind that contain expressions of hate, abuse, offensive images or conduct, obscenity, pornography, sexually explicit or any material that could give rise to any civil or criminal liability under applicable law or regulations or that otherwise may be in conflict with these Terms and Conditions, and the Mediv8 Privacy Policy.

You agree that you will not upload any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or this Web site.

By uploading any media on the Mediv8 site or a Social Media Platform like a photo or video, (a) you grant to Mediv8 a perpetual, non-exclusive, worldwide, royalty-free license to use, copy, print, display, reproduce, modify, publish, post, transmit and distribute the media and any material included in the media; (b) you certify that any person pictured in the submitted media (or, if a minor, his/her parent/legal guardian) authorizes Mediv8 to use, copy, print, display, reproduce, modify, publish, post, transmit and distribute the media and any material included in such media; and (c) you agree to indemnify Mediv8 and its affiliates, directors, officers and employees and hold them harmless from any and all claims and expenses, including attorneys’ fees, arising from the media and/or your failure to comply with these the terms described in this document.

Mediv8 reserves the right to review all media prior to submission to the site and to remove any media for any reason, at any time, without prior notice, at our sole discretion

Passwords
Mediv8 has several tools that allow you to record and store information. You are responsible for taking all reasonable steps to ensure that no unauthorized person shall have access to your Mediv8 passwords or accounts. It is your sole responsibility to (1) control the dissemination and use of sign-in name, screen name and passwords; (2) authorize, monitor, and control access to and use of your Mediv8 account and password; (3) promptly inform Mediv8 if you believe your account or password has been compromised or if there is any other reason you need to deactivate a password. To send us an email, use the “Contact Us” links located at the bottom of every page of our site. You grant Mediv8 and all other persons or entities involved in the operation of the Site the right to transmit, monitor, retrieve, store, and use your information in connection with the operation of the Site. Mediv8 cannot and does not assume any responsibility or liability for any information you submit, or your or third parties’ use or misuse of information transmitted or received using Mediv8 tools and services.

Mediv8 Community and Member to Member Areas (“Public Areas”) and Social Media Platforms
If you use a Public Area, such as message boards, blogs, User Reviews or other member communities, or post on any Social Media Platform, you are solely responsible for your own communications, the consequences of posting those communications, and your reliance on any communications found in the Public Areas or on the Social Media Platforms. Mediv8 and its licensors are not responsible for the consequences of any communications in the Public Areas or on Social Media Platforms. In cases where you feel threatened or believe someone else is in danger, you should contact your local law enforcement agency immediately. If you think you may have a medical emergency, call your doctor or call 112 (or the emergency telephone number for your country).

In consideration of being allowed to use the Public Areas and Social Media Platforms, you agree that the following actions shall constitute a material breach of these Terms and Conditions:

  1. Using a Public Area or Social Media Platform for any purpose in violation of local, state, national, or international laws;
  2. Posting material that infringes on the intellectual property rights of others or on the privacy or publicity rights of others;
  3. Posting material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by Mediv8 in its sole discretion;
  4. Posting advertisements or solicitations of business;
  5. After receiving a warning, continuing to disrupt the normal flow of dialogue, or posting comments that are not related to the topic being discussed (unless it is clear the discussion is free-form);
  6. Posting chain letters or pyramid schemes;
  7. Impersonating another person;
  8. Distributing viruses or other harmful computer code;
  9. Harvesting, scraping or otherwise collecting information about others, including email addresses, without their identification for posting or viewing comments;
  10. Allowing any other person or entity to use your identification for posting or viewing comments
  11. Posting the same note more than once or “spamming”; or
  12. Engaging in any other conduct that restricts or inhibits any other person from using or enjoying the Public Area, Social Media Platform or the Site, or which, in the judgment of Mediv8, exposes Mediv8 or any of its customers or suppliers to any liability or detriment of any type.

Mediv8 Reserves the Right (but is Not Obligated) to Do Any or All of the Following:

  1. Record the dialogue in public chat rooms.
  2. Investigate an allegation that a communication(s) do(es) not conform to the terms of this section and determine in its sole discretion to remove or request the removal of the communication(s).
  3. Remove communications which are abusive, illegal, or disruptive, or that otherwise fail to conform with these Terms and Conditions.
  4. Terminate a user’s access to any or all Public Areas and/or the Mediv8 Site upon any breach of these Terms and Conditions.
  5. Monitor, edit, or disclose any communication in the Public Areas or on a Social Media Platform.
  6. Edit or delete any communication(s) posted on the Mediv8 Site, regardless of whether such communication(s) violate these standards.

Mediv8 or its licensors have no liability or responsibility to users of the Mediv8 Site or any other person or entity for performance or non-performance of the aforementioned activities.

Indemnity
You agree to defend, indemnify, and hold Mediv8, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms and Conditions.

Complete Agreement
Except as expressly provided in a particular “legal notice” on the Mediv8 Site, these Terms and Conditions and the Mediv8 Privacy Policy. constitute the entire agreement between you and Mediv8 with respect to the use of the Mediv8 Site, and Content.

Errors on the Mediv8 Site

Content, prices, and availability of products and services are subject to change without notice. Errors will be corrected where discovered, and Mediv8 site reserves the right to revoke any stated offer and to correct any errors, inaccuracies or omissions including after an order has been submitted and whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Mediv8will issue a credit to your credit card account in the amount of the charge. Individual bank policies will dictate when this amount is credited to your account. If you are not fully satisfied with your purchase, you may return it in accordance with the Site’s return policy.

Blog Posting Requirements
These requirements (“Requirements”) govern your participation as a blog article contributor to Mediv8 and the www.mediv8.com website.

  1. You certify that you are eighteen years of age or older.
  2. You represent that you have informed your current school if you intend to blog about your pre-med and/or medical school experience.  Further, you understand that Mediv8 reserves the right to notify your school of your participation, if appropriate.
  3. You understand and agree that you are wholly responsible for complying with your school’s academic and laboratory rules regarding public discussion, including blogging, about classroom and laboratory activities and content, and that Mediv8 bears no responsibility in ensuring that the content of this blog complies with those policies.
  4. You understand and agree thatMediv8 may cease your participation with this blog at any time.
  5. You represent that you hold all original copyrights to the materials submitted, or have obtained written permission from the copyright owner to make these materials available via a publicly accessible website, such as www.mediv8.com.  In addition, if your submission contains a reference or image of a person other than you, you represent that you have obtained permission of such person to include his/her information in the submission.
  6. You agree not to write anything that may be intentionally damaging, untrue, or misleading about Mediv8, your medical school, or other medical schools, people, hospitals, medicines, research, health products, or businesses.
  7. You agree not to use the blog to promote or endorse commercial products or services for which you will be compensated.
  8. You agree to obtain and provide Mediv8 signed photographic releases to use photos of others on the blog, prior to submitting the photo.
  9. You understand that submitting materials to Mediv8 does not guarantee that the materials will be reviewed, accepted, or published.  Further, you understand and agree Mediv8 may edit or rewrite your blog(s) for grammar, punctuation, style, or length.
  10. You understand and agree that Mediv8 reserves the right to edit or remove any statements or photographs that are in violation of patient privacy (HIPAA) or personal privacy, unnecessarily graphic, vulgar or profane, defamatory, threatening, illegal, promotes unethical or dangerous behavior or practices, plagiarized, or are culturally or racially inappropriate or insensitive, or politically inflammatory.
  11. You agree to credit and link to www.mediv8.com if you republish your blog post, in whole or in part and in any format.  Further, if you distribute your blog in print, it must clearly be identified as an excerpt from your www.mediv8.com blog. Also provide a no follow link to ensure Google ranks the content correctly.
  12. To the extent permission under applicable law, you hereby grant Mediv8 a non-exclusive, perpetual, world-wide, royalty free right to display, reproduce, disseminate, adapt, modify, annotate, archive, and otherwise use your submitted materials for any purpose determined by Mediv8, including promotions and advertising.  This grant extends to all traditional, digital, and electronic media.  Further, you grant Mediv8 the right to associate your name, image, and biographical data in connection with your submitted content.
  13. You release and forever discharge Mediv8, it agents, officers, and employees from any and all claims and demands arising out of or in connection with the use of the submission, including but not limited to, any claims for invasion of privacy or defamation.
  14. If a provision of these Terms is or becomes invalid or unenforceable in any jurisdiction that shall not affect the validity or enforceability in another jurisdiction or any other provision of these Terms.
